ShopOS Legal Framework: Terms of Use

This Agreement is entered into by and between HOM.AI PTE. LTD., a company incorporated in Singapore ("HOM.AI", "we", "us", or "our"), and the party accessing or using the Services ("User" or "you").

By clicking "I Agree," executing an Order Form, or by accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms incorporate the Acceptable Use Policy ("AUP"), Copyright Dispute Policy, and Privacy Policy, all of which form part of this Agreement.

1. Definitions

Agreement: These Terms of Use, the Privacy Policy, the AUP, and any executed Order Form.

Inputs: All data, prompts, files, images, videos, text, URLs, or other information submitted by you.

Outputs: Any images, videos, text, code, or other content generated by the Services based on your Inputs.

Services: All tools, software, products, APIs, and features offered under the ShopOS brand.

Subscription Term: The period during which you have purchased access to the Services.

Credits: Units that are consumed when you generate Outputs or use certain features of the Services.

Eligibility: You represent that you are at least 18 years old (or the legal age of majority) and have authority to enter into this Agreement on behalf of yourself or your business.

2. The Services and License Grant

2.1 Scope of the Services

HOM.AI provides AI-powered tools for:

  • AI image and content generation
  • E-commerce visuals, catalog creation, and marketplace optimization

Beta / Experimental Features Disclaimer: Certain features may be released as beta, preview, or experimental features ("Beta Features"). Beta Features are provided "as is," may be unstable, incomplete, or subject to errors, and may change or be discontinued at any time without notice. You acknowledge and accept that Beta Features are not intended for mission-critical or production-critical use.

We may modify, update, improve, or discontinue any aspect of the Services at any time.

2.2 License Grant

Subject to this Agreement, HOM.AI grants you a non-exclusive, non-transferable, non-sublicensable license to access and use the Services and Outputs solely for your internal business and commercial purposes during your Subscription Term.

3. Pricing, Payments, and Credits

3.1 Subscription Plans and Pricing

The Services are provided on a paid, credit-based commercial model, which may include:

  • Subscription plans with monthly or annual billing
  • Usage-based pricing based on credit consumption
  • Tiered plans with different feature access and credit allocations

Pricing details are published on our website and may be updated from time to time at our discretion.

3.2 Credit System

  • Credits are deducted per Output generation or feature usage.
  • Your plan determines your monthly or total credit allocation.
  • Credits may expire according to your subscription plan.
  • Unused credits do not roll over unless expressly stated in your plan.

3.3 Payments and Billing

  • All payments are non-refundable, except as required by applicable Singapore law.
  • Payments are processed via third-party payment providers (e.g., Stripe).
  • You are responsible for providing accurate and up-to-date billing information.
  • If payment fails, we may suspend or terminate your access to the Services.

3.4 Overages and Usage Limits

Depending on your plan:

  • You may be prevented from generating further Outputs when credits are exhausted.

HOM.AI reserves the right to apply rate limits, throttling, suspension, or termination in cases of abusive, excessive, or automated usage.

3.5 Chargebacks

You agree not to initiate a chargeback without first contacting HOM.AI. Unauthorized chargebacks may result in suspension or termination of your account.

4. Intellectual Property and Data Rights

4.1 Ownership of Outputs

Upon successful credit deduction, Outputs are assigned to you.

AI Limitations and User Responsibility: You acknowledge that Outputs are generated by artificial intelligence and may be inaccurate, incomplete, biased, misleading, or contain errors or hallucinations. HOM.AI makes no representations or warranties regarding the accuracy, legality, or suitability of Outputs. You are solely responsible for reviewing, validating, and determining whether Outputs are appropriate for your intended use, including compliance with applicable laws, regulations, and marketplace rules.

HOM.AI does not control or review Inputs and disclaims responsibility for any infringement arising from Inputs or Outputs.

4.2 Your Inputs

You retain ownership of your Inputs.

You grant HOM.AI a limited license to process Inputs solely to operate, maintain, secure, and support the Services.

Model Training Clarification: HOM.AI does not use customer Inputs, Outputs, or workspace data to train, fine-tune, or improve its foundational or generative AI models. Inputs and Outputs may be processed transiently for content generation, logging, debugging, abuse prevention, and system performance, but not for model training.

4.3 Ownership of the Services

All software, models, algorithms, workflows, and trademarks are and remain the exclusive property of HOM.AI.

4.4 Data Retention and Deletion

Upon termination, you may request deletion of your Inputs and Brand Memory Profile, subject to legal, regulatory, and legitimate business requirements.

5. Acceptable Use Policy (AUP)

5.1 Prohibited Uses

You shall not use the Services to:

  • Upload, process, or generate sensitive personal data, including government IDs, financial information, health or medical data, biometric data, or precise location data
  • Upload unauthorized personal data of third parties
  • Create deceptive, impersonation, or deepfake content
  • Attempt to train or develop competing AI models
  • Circumvent system safeguards, limits, or security mechanisms

5.2 Human Images, Likeness, and Product Data

You represent and warrant that you have obtained all necessary rights, licenses, permissions, and consents to upload and use any human images, likenesses, voices, brand assets, or product data, including consent for AI generation and commercial use.

5.3 E-commerce Misuse

You may not use the Services to create counterfeit listings, misleading claims, infringing content, or content designed to circumvent marketplace policies.

6. Copyright Dispute Policy

HOM.AI adopts a DMCA-style takedown procedure for global interoperability.

7. Warranty Disclaimer

The Services are provided "AS IS" and "AS AVAILABLE."

HOM.AI disclaims all warranties, express or implied, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, non-infringement, bias mitigation, or marketplace acceptance of Outputs.

8. Limitation of Liability and Indemnity

8.1 Limitation of Liability

HOM.AI's total cumulative liability shall not exceed the greater of:

  • (a) fees paid in the one (1) month preceding the claim, or
  • (b) S$100.

8.2 Indemnification

You agree to indemnify, defend, and hold harmless HOM.AI from all claims, damages, losses, liabilities, and expenses arising from:

  • Your Inputs or Outputs
  • Misuse of likeness, image, or personal data
  • Intellectual-property infringement
  • Marketplace enforcement actions or takedowns
  • Your breach of this Agreement

HOM.AI provides no indemnification for Output-related IP disputes.

9. Governing Law and Dispute Resolution

This Agreement is governed by Singapore law.

All disputes shall be resolved by SIAC arbitration in Singapore.

10. General Provisions

10.1 Termination

We may terminate for breach.

You may terminate with 30 days' written notice.

10.2 Account Security

You are responsible for safeguarding your credentials.

10.3 Force Majeure

No liability for events beyond reasonable control.

10.4 Share Chat and Public Links

Certain features, including Share Chat or shared links, intentionally make content accessible to anyone with the link. You acknowledge that such content is public and should not include confidential or sensitive information.

10.5 Severability

Invalid provisions do not affect the remainder.

10.6 Entire Agreement

This Agreement supersedes all prior agreements.
